Legal
Terms of sale
Version 1.2, 21 September 2026. These terms of sale (“Terms”) apply to every purchase of a Pinionfall Engine source licence on dev.pinionfall.com and to your use of this site. Please read them together with the licence, the refund policy and the privacy notice.
1. Who we are and who sells to you
1.1 The licensor. The Pinionfall engine is developed and licensed by a sole proprietor established in Switzerland and trading as Pinionfall, email support@pinionfall.com (“we”, “us”). The licensor’s name and postal address are given in the imprint.
1.2 The merchant of record. Payments on this site are processed through Stripe’s Managed Payments service. For your purchase, Link, operated by the Stripe group company named on your receipt, acts as merchant of record and reseller: it sells the licence to you, takes your payment, handles applicable sales tax, VAT or GST within its documented tax coverage, issues your receipt or invoice, and provides payment support. The total payable to Link, including taxes charged at checkout, is shown before you pay. Your card or bank statement will show a Link descriptor. The payment transaction is also governed by Link’s own terms, which you accept at checkout.
1.3 The licence. The rights in the software are granted to you directly by us, and only under the licence. These Terms govern your relationship with us regarding the purchase, delivery and this site.
1.4 You. “You” means the person or organisation named as the licensed entity at checkout (the “Licensee”), and, where relevant, the individual who completes the purchase on its behalf.
2. What is sold
2.1 We sell a one-time, perpetual, non-exclusive source licence for one legal entity (an individual, or a company including its employees and individual contractors working for it) to the Pinionfall engine, as described on the licence page and in the licence text.
2.2 The licence includes access to the private GitHub repositories of the pinionfall
organisation (engine, physics, parry and rapier), and to the updates published there
while the licence is in force, for as long as we choose to publish them. No support,
maintenance or future feature is included or promised, except where mandatory law requires
otherwise.
2.3 The licence lets you build and ship an unlimited number of your own products, commercial or not, with no royalties. Source access is limited to authorised employees and individual contractors, and other disclosures expressly permitted by the licence. Unchanged runtime assets may be incorporated in permitted finished products. The licence states the full conditions; it does not allow standalone engine or asset-pack resale.
2.4 Third-party components are provided under their own licences, as recorded in the
repository’s THIRD-PARTY-NOTICES.md.
3. Evaluate before you buy
3.1 The free game at pinionfall.com and the public documentation demonstrate aspects of the engine. Private source code is available after purchase. The game and docs do not let you inspect every feature, limitation or suitability for your project.
3.2 We do not offer a voluntary change-of-mind refund after digital delivery begins. This does not exclude a statutory withdrawal right that remains available, a remedy for non-delivery or non-conformity, or Link’s applicable buyer protection. See sections 9 and 10 and the refund policy.
4. Who may buy
4.1 You must be at least 18 years old and have full legal capacity to enter into contracts.
4.2 If you buy for a company or other organisation, you confirm that you are authorised to bind it, and that organisation becomes the Licensee.
4.3 You must not buy if you, the organisation you represent, or anyone owning or controlling it, is located in a country or territory subject to comprehensive sanctions, or is listed on a Swiss, United States, European Union, United Kingdom or United Nations sanctions list. We may refuse or cancel a sale where export control or sanctions law requires it.
4.4 The licence is intended for developers and businesses. Where you buy as a consumer, the mandatory consumer rights described in section 13 apply.
4.5 Sales countries. We currently sell only to customers located in the countries and territories where the merchant of record collects and remits sales tax, VAT or GST on the sale: Albania, Armenia, Australia, Austria, Azerbaijan, Barbados, Belgium, Bermuda, British Virgin Islands, Brunei, Bulgaria, Cameroon, Canada, Cayman Islands, Croatia, Cyprus, Czechia, Denmark, Egypt, Estonia, Finland, France, Georgia, Germany, Ghana, Gibraltar, Greece, Hong Kong SAR China, Hungary, Iceland, India, Indonesia, Ireland, Israel, Italy, Japan, Kazakhstan, Kenya, Kuwait, Kyrgyzstan, Laos, Latvia, Liechtenstein, Lithuania, Luxembourg, Macao SAR China, Malaysia, Malta, Mexico, Moldova, Nepal, Netherlands, New Zealand, Nigeria, Norway, Philippines, Poland, Portugal, Qatar, Romania, Saudi Arabia, Serbia, Singapore, Slovakia, Slovenia, South Africa, South Korea, Spain, Sweden, Switzerland, Taiwan, Tajikistan, Thailand, Türkiye, Uganda, Ukraine, United Kingdom, United States, Vietnam, Zambia and Zimbabwe. Before checkout you choose the country where you are located from this list. The billing address you give at checkout must also be in one of them; if it differs from the country you chose, the billing address governs. If the billing address is outside this list, or none is reported to us, we decline the order: no licence is granted, no repository access is given and the payment is refunded in full automatically. If your country is missing, the licence is not available there yet.
5. Your account
5.1 You sign in to this site with a GitHub account through our sign-in provider. The GitHub account you use at purchase becomes the access account bound to the licence. Access to the repositories is granted to that one account only.
5.2 You must keep the account secure, must not let anyone else use it, and must give accurate information, including the correct legal name of the licensed entity. You are responsible for what happens through your account.
5.3 If access needs to move to another GitHub account of the same licensed entity, write to support@pinionfall.com. We may ask for reasonable proof before we move it.
6. Ordering and how the contract is made
6.1 Steps. To buy, you: (1) sign in with GitHub; (2) enter the name of the licensed entity and choose your country (section 4.5); (3) give the pre-payment confirmations in section 6.2; (4) are forwarded to the checkout page of the merchant of record, where the price, any taxes and the total are shown and you accept Link’s terms; and (5) pay.
6.2 Pre-payment confirmations. Before you can proceed to payment, you must tick boxes on our site to confirm that:
- you have read and accept the licence and these Terms;
- you expressly request immediate digital delivery during any withdrawal period and acknowledge that the withdrawal right is lost when supply begins, subject to the legally required confirmation; and
- you have had the opportunity to evaluate the free game and public documentation, and understand the voluntary change-of-mind refund policy without waiving mandatory rights.
The exact checkbox wording is displayed before payment and preserved with the purchase documents. We record the confirmations, time, licence version, document fingerprints and account identity as evidence. IP address and browser metadata are also initially recorded and may later be erased under the privacy notice.
6.3 Correcting mistakes. Until you pay, you can correct your entries, or abandon the purchase by going back or closing the checkout page.
6.4 Contract. The contract with us is concluded when your payment is confirmed. We send a confirmation email to the purchase address containing the licence key, licensed entity, your recorded confirmations and the purchase-time licence, Terms, refund policy, privacy notice and imprint. Please keep it. Your receipt or invoice comes separately from Link. Contact support if the confirmation is missing; a payment receipt alone does not establish that you received our contract confirmation or lost a withdrawal right. An order declined under section 4.5 does not conclude a contract with us.
6.5 Language and storage. The contract is concluded in English. We preserve the purchase-time documents and consent record. Later edits do not replace the version you accepted. Your confirmation contains that version; contact support if you need another copy. Current public pages may display a later version.
7. Price, payment and taxes
7.1 The price is the price shown at checkout, in the currency shown there. It is a one-time payment: there is no subscription and nothing renews.
7.2 Taxes charged by Link are shown at checkout and on your receipt or invoice. Link’s tax handling depends on the transaction and its documented coverage; this does not transfer the seller’s remaining legal obligations to you. Charges made by your own bank or card issuer, including for currency conversion, are yours.
7.3 Payment is handled entirely by the merchant of record. Your card details never reach us.
8. Delivery
8.1 How. After your payment is confirmed, our site automatically invites your access account as a read-only outside collaborator to the repositories listed in section 2.2. GitHub notifies you of the invitation by email and on github.com.
8.2 Accepting the invitation. You must accept the invitation on GitHub. A GitHub invitation expires after 7 days. If it expires unaccepted, we send a new one automatically, up to three times. You can also resend it yourself from your account page on this site: to stay within the number of invitations GitHub lets us send each day, a resend is available once every 10 minutes for each repository and at most 6 times in 24 hours. If none of this works, write to support@pinionfall.com and we will restore your invitation.
8.3 Delivery record. We make the source available through repository invitations to your access account. We record invitations and, where observed, their acceptance or active access separately. Sending an invitation is not proof that you accepted it or downloaded the source. Statutory supply and withdrawal requirements must actually be met.
8.4 Problems. If you have not received the invitation within one hour after payment, or cannot access the repositories, write to support@pinionfall.com. We will fix access promptly. You may also contact Link or your payment provider; contacting us first is not a condition of your rights and does not delay any deadline.
9. Refund policy and withdrawal
9.1 Change of mind. We do not offer a voluntary change-of-mind refund after digital delivery begins. That policy is subject to the statutory and provider remedies below.
9.2 Withdrawal. A consumer’s statutory withdrawal right is lost only when the legal conditions are met. For digital content this includes actual supply beginning with the required prior express consent and acknowledgement, and the required contract confirmation. Payment or a checked box alone does not establish that the right has ended. The refund policy explains the procedure and how to exercise an available right. Use Withdraw from contract, also linked in the site footer and your account, to review and confirm a statement without signing in. You receive a receipt showing its content and submission time. You can also email support@pinionfall.com or contact Link. Swiss law does not provide a general withdrawal right for online purchases.
9.3 Other remedies. We refund duplicate purchases. Mandatory remedies for non-delivery or non-conformity and Link’s applicable buyer protection remain available. A partial price reduction or goodwill refund does not itself terminate the licence.
10. Refunds, chargebacks and disputes
10.1 Pending dispute. A pending payment dispute or conflicting provider outcomes may temporarily suspend repository access. The licence continues: you may keep using received versions and develop, distribute and operate permitted products. Opening a dispute does not itself require deletion or product withdrawal. Your account explains the restriction; contact support@pinionfall.com for human review.
10.2 Resolution and termination. Access is restored promptly after provider confirmation that the payment is retained or restored and no other restriction remains. A full refund, including cumulative refunds of the whole price, or a final adverse chargeback or reversal ends the licence prospectively, subject to the exceptions in licence section 15.5 and mandatory rights. Partial refunds alone leave it in force; refunding a duplicate affects only that duplicate. Any expressly agreed written refund exception has its agreed effect.
10.3 Your remedies. Contacting us first can help resolve an access problem, but opening a dispute without doing so is not itself a breach. It does not waive statutory or provider rights. We provide relevant, accurate purchase and delivery evidence when responding to claims; an invitation or access timestamp is not proof of a source download.
10.4 Effects. Licence sections 16 and 17 govern material breach, cure and termination. Actual termination ends future use and new distribution of the engine, with the stated removal and retention rules. It does not turn earlier lawful use into infringement or require recall of copies lawfully supplied to end users. A temporary access restriction is distinct from termination, as is a distribution shutdown under section 11.3.
11. Access and availability
11.1 Delivery and updates depend on GitHub. Your use of GitHub is governed by GitHub’s own terms. We are not responsible for GitHub outages, for GitHub’s actions concerning your account, or for invitations that expire unaccepted (they are re-sent as described in section 8.2).
11.2 We do not guarantee that this site, the repositories or any version will be available at all times. We may change how the software is distributed, provided that licensees whose licence is in force keep access through an equivalent channel for as long as we distribute the software.
11.3 If access ends for reasons not attributable to you (for example because we discontinue the software or its distribution, or the repository hosting ends), the licence continues for the versions you received and for your products, as stated in section 18 of the licence. Keep your own copies of the versions you receive.
12. Acceptable use of this site
You must not: use another person’s account or share yours; pay with payment details you are not authorised to use; interfere with, probe, scan or test the vulnerability of this site without our written permission; circumvent any access control; collect data from the site by automated means; or use the site in breach of law. We may suspend accounts that do so.
13. Consumers
13.1 If you are a consumer, nothing in these Terms or in the licence affects the rights that the mandatory consumer protection law of your country of habitual residence gives you, including rights where digital content is not supplied or does not conform to the contract.
13.2 If you acquire the licence for a trade, business or profession, including to sell your own products, you are generally not a consumer.
14. Transfer of the licence
The licence is bound to one licensed entity and one GitHub account. It can be transferred to another person or entity (for example on the sale of a business) only through our licence registry, on written request to support@pinionfall.com and with our written confirmation, as set out in section 12 of the licence.
15. Termination
15.1 You may stop using this site at any time. Deleting your site account does not end the licence, but may make access harder to manage; we keep the licence record as described in the privacy notice.
15.2 We may suspend or close your site account if you breach these Terms, where the law requires, or to prevent fraud. The licence itself terminates only as stated in the licence (in particular on a full refund, final adverse payment reversal or material breach), with the exceptions and effects stated there. A temporary site-account or repository restriction does not itself terminate the licence.
16. Liability
16.1 The warranty disclaimer and limitation of liability in sections 19 to 21 of the licence apply to the software, the repositories and the versions delivered.
16.2 For this site and our services under these Terms, and to the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit or loss of data, and our total liability is limited to the amount you paid for the licence.
16.3 Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for unlawful intent or gross negligence, for fraud, for death or personal injury where the law so provides, or under mandatory product liability or consumer protection law.
17. Governing law and disputes
17.1 These Terms are governed by Swiss substantive law, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
17.2 The ordinary courts at our domicile in the Canton de Vaud, Switzerland, have exclusive jurisdiction. We may also bring proceedings at your seat or domicile.
17.3 If you are a consumer, the choice of law does not deprive you of the protection of the mandatory provisions of the law of your country of habitual residence where applicable law so provides, and you may bring proceedings in any court that mandatory law makes available to you, including the courts of your domicile.
17.4 Please contact us first: most problems, especially access problems, can be solved quickly by email. We are not obliged, and do not undertake, to take part in dispute resolution proceedings before a consumer arbitration or conciliation body.
18. Order of precedence
If these Terms and the licence conflict, the licence prevails on the software, intellectual property, permitted use and distribution, confidentiality, termination and its effects, and these Terms prevail on the purchase, payment, taxes, delivery, refunds and withdrawal. Mandatory law prevails over both. Link’s terms govern the payment transaction between you and the merchant of record, and do not extend your rights in the software.
19. Changes to these Terms
19.1 The version of these Terms and of the licence in force when you buy governs that purchase. Later versions apply to later purchases, and apply to an existing licence only if you expressly accept them.
19.2 We may update, for the future, the parts of these Terms that concern the use of this site. The date at the top shows the current version.
20. General
20.1 If any provision is invalid, the rest remains in force and, to the extent permitted by law, the invalid provision is replaced by a valid one that comes closest to its purpose.
20.2 A failure to enforce a right is not a waiver of it.
20.3 We may transfer our rights and obligations under these Terms to a successor to our business, provided your rights are not reduced.
20.4 Neither party is liable for delays or failures caused by events beyond its reasonable control, including failures of GitHub, hosting or payment services.
20.5 Email is sufficient for any notice under these Terms. Notices to you are sent to the email address of your account.
